What is the difference between a business name and a company?
A business name is a trading name and does not have a separate legal entity. It is usually owned by an individual, partnership or company. Business names are only applicable in the state of registration.
The benefits of a company include:
- it has perpetual existence and does not die;
- officeholders and members can be changed without changing ownership of assets;
- asset protection;
- taxation advantages.
What name can I use for a Company?
Generally, a company name is available if it has at least one letter different to an existing company or business name (or is not a plural of the same), and is not a restricted word. In certain circumstances a restricted word can be made available with Ministerial Consent.
What information is required to incorporate a company?
- Company name - these can be searched on the ASIC database. We can assist you with the search;
- Registered Office - a post office box address is not acceptable;
- Principal Place of Business - where the company carries on business;
- Officeholder details (full name, residential address and date & place of birth including which state if Australia and which country if outside Australia;
- Member (shareholder) details - full name and address;
- Number, class and value of each share.
How long does it take to incorporate a company?
When we have all the information and payment, a company is usually incorporated within minutes upon transmission to ASIC. If requested, we can either fax or email a copy of the A.C.N. number to you. In most cases your company register is forwarded by Australia Express Post overnight or if in Adelaide, the same day. If registration is urgent, please advise us at the time of submitting your order form.
